1) фин., амер. акция для частного размещения* (акция, размещенная по закрытой подписке и не зарегистрированная на фондовой бирже; такие акции содержат ряд ограничений на последующую перепродажу, напр., запрет на перепродажу в течение двух лет; название происходит от требования Комиссии по ценным бумагам, чтобы покупатель таких акций оформлял официальное письмо, в котором подтверждал бы, что приобретает акции исключительно для долгосрочных инвестиционных целей, а не для последующей перепродажи)
